Position Title: Senior Director, Corporate & M&A, APAC

Your role
This position, based in Singapore, is an opportunity to join our global Legal Risk Sustainability (LRS) department as a Corporate & M&A attorney supporting the APAC region. This position direct reports to the VP & DGC, Global Corporate & M&A, who is based in Texas, USA, and dotted report to the Managing Director, Head of Asia Pacific, who is based in Singapore. Working closely with the global Corporate & M&A, Litigation and Employment, Real Estate/Ops Legal teams, this position partners closely with the company’s corporate functions to manage all aspects of non-commercial legal work and with the Company’s global Acquisitions & Investments Team on M&A and JV transactions across the APAC region. This attorney will also support the Company’s SREIT vehicle, an SGX-listed entity.
What you’ll do
- Advise and provide legal support to the Company’s APAC region on all non-commercial matters, and partnering with:
- APAC corporate business units, including Accounting, Corporate Finance, Treasury, HR, Marketing and Tax groups.
- Design, Construction & Engineering group, Operations and Portfolio Management groups, and Products and Technology groups across APAC.
- Global and local Acquisitions and Investments team.
- Draft, review and negotiate a wide variety of contracts with suppliers, vendors and consultants, and provide advice and guidance to internal clients with respect to drafting, negotiation and interpretation.
- Draft, review and negotiate agreements for the Company’s APAC properties, including complex and sometimes multi-tiered and multi-jurisdictional inbound/supply chain contracts and associated transactional documents, from DLR standard templates and third-party forms, including vendor, connectivity, construction and dark fiber agreements.
- Manage all stages of M&A and JV transactions – NDAs, LOIs, diligence, negotiations, closing, post-closing and integration – including acquisitions and dispositions, JVs and other investments.
- Effectively manage outside counsel, including multiple teams of deal counsel and specialists in multiple jurisdictions on multiple transactions at any given time.
- Coordinate closely with internal business units on transactions, including Accounting, Tax, SEC reporting, Finance, Investor Relations, HR, Sales/Marketing and others.
- Oversee drafting, review and negotiation of agreements with consultants and other third parties related to the transactions (e.g., reliance letters, engagement letters, etc.).
- Routinely update Legal leadership on status of the transactions.
- Provide ongoing support for and engagement with joint ventures, including post-closing, on all aspects, including:
- Corporate governance, board meetings, and routine and non-routine matters for approval.
- Capital calls/contributions, JV partner rights and obligations.
- Manage outside counsel effectively and efficiently.
- Work closely with senior stakeholders in the Company, including other cross-functional members of the APAC leadership team and global business and Legal leadership.
- Work with Legal and LRS Operations teams to support the development and continuous improvement of policies, procedures, processes and playbooks and standard templates across matters.
- Execute assigned projects, including the development and implementation of processes, as determined by the needs of the global Legal Department.
What you’ll need
- Degree from top law school, with active current membership (or qualification), as applicable.
- Minimum of 15 years of corporate and M&A transactions experience, including a combination of major law firm and in-house experience.
- Experience managing complex M&A transactions is required.
- Experience with JVs and international transactions is preferred.
- Experience managing outside counsel, including in complex transactions, is required.
- Highly organized with strong attention to detail and excellent drafting, negotiating, writing, speaking and analytical skills.
- Ability to identify and research legal risks and issues, and effectively counsel clients.
- Experience in transaction and document management.
- Flexible team-player with excellent interpersonal and communication skills, both written and verbal.
- Self-motivated, independent and able to handle and prioritize time-sensitive projects.
- Willing to work on a broad variety of matters in a fast-paced environment; agile.
- Ability to develop and implement processes for Legal Department.
